These Terms of Service (“Terms”, “Terms of Service”) govern your use of our website located at https://everestcast.com https://vdopanel.com https://everestpanel.com https://my.everestcast.com https://everestcast.host https://hosting.everestcast.com (together or individually “Service”) operated by Everest Cast.
Our Privacy Policy also governs your use of our Service and explains how we collect, safeguard and disclose information that results from your use of our web pages.
Your agreement with us includes these Terms and our Privacy Policy (“Agreements”). You acknowledge that you have read and understood the Agreements, and agree to be bound by them.
If you do not agree with (or cannot comply with) Agreements, then you may not use the Service, but please let us know by emailing at support@everestcast.com so we can try to find a solution. These Terms apply to all visitors, users, and others who wish to access or use the Service.
2. Communications
By using our Service, you agree to subscribe to newsletters, marketing or promotional materials, and other information we may send. However, you may opt-out of receiving any, or all, of these communications from us by following the unsubscribe link or by emailing at support@everestcast.com.
3. Purchases
If you wish to purchase any product or service made available through Service (“Purchase”), you may be asked to supply certain information relevant to your Purchase including but not limited to, your credit or debit card number, the expiration date of your card, your billing address, and your shipping information.
You represent and warrant that: (i) you have the legal right to use any card(s) or other payment method(s) in connection with any Purchase; and that (ii) the information you supply to us is true, correct and complete.
We may employ the use of third-party services for the purpose of facilitating payment and the completion of Purchases. By submitting your information, you grant us the right to provide the information to these third parties subject to our Privacy Policy.
We reserve the right to refuse or cancel your order at any time for reasons including but not limited to: product or service availability, errors in the description or price of the product or service, error in your order or other reasons.
We reserve the right to refuse or cancel your order if fraud or an unauthorized or illegal transaction is suspected.
4. Contests, Sweepstakes and Promotions
Any contests, sweepstakes or other promotions (collectively, “Promotions”) made available through Service may be governed by rules that are separate from these Terms of Service. If you participate in any Promotions, please review the applicable rules as well as our Privacy Policy. If the rules for a Promotion conflict with these Terms of Service, Promotion rules will apply.
5. Subscriptions
Some parts of the Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles will be set depending on the type of subscription plan you select when purchasing a Subscription.
At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or Everest Cast cancels it. You may cancel your Subscription renewal either through your online account management page or by contacting the support@everestcast.com customer support team.
A valid payment method is required to process the payment for your subscription. You shall provide Everest Cast with accurate and complete billing information that may include but not limited to full name, address, state, postal or zip code, telephone number, and valid payment method information. By submitting such payment information, you automatically authorize Everest Cast to charge all Subscription fees incurred through your account to any such payment instruments.
Should automatic billing fail to occur for any reason, Everest Cast reserves the right to terminate your access to the Service with immediate effect.
6. Free Trial
Everest Cast may, at its sole discretion, offer a Subscription with a free trial for a limited period of time ("Free Trial").
You may be required to enter your billing information in order to sign up for Free Trial.
If you do enter your billing information when signing up for a Free Trial, you will not be charged by Everest Cast until the Free Trial has expired. On the last day of the Free Trial period, unless you cancel your Subscription, you will be automatically charged the applicable Subscription fees for the type of Subscription you have selected.
At any time and without notice, Everest Cast reserves the right to (i) modify the Terms of Service of the Free Trial offer, or (ii) cancel such Free Trial offer.
7. Fee Changes
Everest Cast, in its sole discretion and at any time, may modify Subscription fees for the Subscriptions. Any Subscription fee change will become effective at the end of the then-current Billing Cycle.
Everest Cast will provide you with reasonable prior notice of any change in Subscription fees to give you an opportunity to terminate your Subscription before such change becomes effective.
Your continued use of the Service after the Subscription fee change comes into effect constitutes your agreement to pay the modified Subscription fee amount.
8.1 Terms and Conditions for Cloud Hosting and Dedicated Server Hosting:

Payment: All payments for the cloud hosting and dedicated server hosting services are due within 24 hours of service expiration. If payment is not received within this time frame, the server will be suspended.

Reactivation: In the event that the server is suspended due to non-payment, the customer may request reactivation. A reactivation fee of $25 will be charged for this service.

Responsibility for Payment: The customer is responsible for ensuring that all payments are made on time and for providing accurate billing information.

Termination: Everest Cast reserves the right to terminate the customer's account at any time, without notice, if the customer fails to make payment in a timely manner.
9. Content
Our Service allows you to post, link, store, share and otherwise make available certain information, text, graphics, videos, or other material (“Content”). You are responsible for Content that you post on or through Service, including its legality, reliability, and appropriateness.
By posting Content on or through Service, You represent and warrant that: (i) Content is yours (you own it) and/or you have the right to use it and the right to grant us the rights and license as provided in these Terms, and (ii) that the posting of your Content on or through Service does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person or entity. We reserve the right to terminate the account of anyone found to be infringing on a copyright.
You retain any and all of your rights to any Content you submit, post or display on or through Service and you are responsible for protecting those rights. We take no responsibility and assume no liability for Content you or any third party posts on or through Service. However, by posting Content using Service you grant us the right and license to use, modify, publicly perform, publicly display, reproduce, and distribute such Content on and through Service. You agree that this license includes the right for us to make your Content available to other users of Service, who may also use your Content subject to these Terms.
Everest Cast has the right but not the obligation to monitor and edit all Content provided by users.
In addition, Content found on or through this Service are the property of Everest Cast or used with permission. You may not distribute, modify, transmit, reuse, download, repost, copy, or use said Content, whether in whole or in part, for commercial purposes or for personal gain, without express advance written permission from us.
10. Prohibited Uses
You may use Service only for lawful purposes and in accordance with the Terms. You agree not to use Service:
0.1. In any way that violates any applicable national or international law or regulation.
0.2. For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content or otherwise.
0.3. To transmit, or procure the sending of, any advertising or promotional material, including any “junk mail”, “chain letter,” “spam,” or any other similar solicitation.
0.4. To impersonate or attempt to impersonate Company, a Company employee, another user, or any other person or entity.
0.5. In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful, or in connection with any unlawful, illegal, fraudulent, or harmful purpose or activity.
0.6. To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of Service, or which, as determined by us, may harm or offend Company or users of Service or expose them to liability.
0.7 To Promote discrimination based on race, sex, religion, nationality, disability, sexual orientation or age.
0.8 To Broadcast or Distribute any Pornographic Content.
Additionally, you agree not to:
0.1. Use Service in any manner that could disable, overburden, damage, or impair Service or interfere with any other party’s use of Service, including their ability to engage in real time activities through Service.
0.2. Use any robot, spider, or other automatic device, process, or means to access Service for any purpose, including monitoring or copying any of the material on Service.
0.3. Use any manual process to monitor or copy any of the material on Service or for any other unauthorized purpose without our prior written consent.
0.4. Use any device, software, or routine that interferes with the proper working of Service.
0.5. Introduce any viruses, trojan horses, worms, logic bombs, or other material which is malicious or technologically harmful.
0.6. Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of Service, the server on which Service is stored, or any server, computer, or database connected to Service.
0.7. Attack Service via a denial-of-service attack or a distributed denial-of-service attack.
0.8. Take any action that may damage or falsify Company rating.
0.9. Otherwise attempt to interfere with the proper working of Service.
11. Analytics
We may use third-party Service Providers to monitor and analyze the use of our Service.
12. No Use By Minors
Service is intended only for access and use by individuals at least eighteen (18) years old. By accessing or using Service, you warrant and represent that you are at least eighteen (18) years of age and with the full authority, right, and capacity to enter into this agreement and abide by all of the terms and conditions of Terms. When you create an account with us, you guarantee that you are above the age of 18, and that the information you provide us is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your account on Service.

We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders in our sole discretion.

Service and its original content (excluding Content provided by users), features and functionality are and will remain the exclusive property of Everest Cast and its licensors. Service is protected by copyright, trademark, and other laws of and foreign countries. Our trademarks may not be used in connection with any product or service without the prior written consent of Everest Cast.
15. Copyright Policy
We respect the intellectual property rights of others. It is our policy to respond to any claim that Content posted on Service infringes on the copyright or other intellectual property rights (“Infringement”) of any person or entity.
If you are a copyright owner, or authorized on behalf of one, and you believe that the copyrighted work has been copied in a way that constitutes copyright infringement, please submit your claim via email to support@everestcast.com, with the subject line: “Copyright Infringement” and include in your claim a detailed description of the alleged Infringement as detailed below, under “DMCA Notice and Procedure for Copyright Infringement Claims”
You may be held accountable for damages (including costs and attorneys’ fees) for misrepresentation or bad-faith claims on the infringement of any Content found on and/or through Service on your copyright.
16. DMCA Notice and Procedure for Copyright Infringement Claims
You may submit a notification pursuant to the Digital Millennium Copyright Act (DMCA) by providing our Copyright Agent with the following information in writing (see 17 U.S.C 512(c)(3) for further detail):

Account Credits Instead of Refunds: While we do not provide monetary refunds, we might offer credits to your account under certain conditions. These credits can be used for future service purchases with us.

Auto-Renewal Subscriptions: If you choose the auto-renewal subscription option, ensure you cancel it using our designated payment platforms - 2checkout, Transaction Cloud, or Paddle. Should you fail to cancel and incur an auto-deduction, any subsequent request for a refund will result in an account credit, not a monetary refund.

Expiration of Credits: Kindly note that any credits applied to your account remain valid for a 12-month period. Post this term; they will be rendered void.

Credit for Replaced Services: If we replace a service or license during your active subscription term, we will credit your account for the days that remain unused.

1.2 Gender Harassment: We strictly prohibit any form of gender harassment or discrimination. Clients must not engage in discussions or actions that demean or undermine women, promote gender stereotypes, or create a hostile or uncomfortable environment for any individual based on their gender.
1.3 Racial Discrimination: We do not tolerate any form of racial discrimination. Clients must not engage in discussions or actions that promote racism, racial stereotypes, or create a hostile or uncomfortable environment for any individual based on their race or ethnicity.
2. Suspension and Termination
2.1 Violation Consequences: If a client violates any of the terms outlined in Section 1 (Client Conduct), we reserve the right to suspend or terminate their access to our services without prior notice.
2.2 Suspension: In the event of a violation, we may suspend the client's access to our services temporarily. During the suspension period, the client will not be able to use our services, and their account may be inaccessible.
2.3 Termination: In cases of severe or repeated violations, we may choose to terminate the client's access to our services permanently. Upon termination, the client will lose all rights and privileges associated with our services, and any ongoing or future engagements will be canceled.

1. Introduction
Welcome to Everest Cast (“Company”, “we”, “our”, “us”)!
These Terms of Service (“Terms”, “Terms of Service”) govern your use of our website located at https://everestcast.com https://vdopanel.com https://everestpanel.com https://my.everestcast.com https://everestcast.host https://hosting.everestcast.com (together or individually “Service”) operated by Everest Cast.
Our Privacy Policy also governs your use of our Service and explains how we collect, safeguard and disclose information that results from your use of our web pages.
Your agreement with us includes these Terms and our Privacy Policy (“Agreements”). You acknowledge that you have read and understood the Agreements, and agree to be bound by them.
If you do not agree with (or cannot comply with) Agreements, then you may not use the Service, but please let us know by emailing at support@everestcast.com so we can try to find a solution. These Terms apply to all visitors, users, and others who wish to access or use the Service.
Communications:
- By using our Service, you agree to subscribe to newsletters, marketing or promotional materials, and other information we may send. However, you may opt-out of receiving any, or all, of these communications from us by following the unsubscribe link or by emailing at support@everestcast.com.
Payment Policy:
- Payment Terms: Clients are required to pay their invoice by the due date mentioned on the invoice. Payment should be made on an advance basis.
- Non-payment: If the client fails to clear the invoice by the due date, the company reserves the right to suspend the service with or without notice. The company will not be held responsible for any data loss or any other issues that may arise as a result of the suspension.
- Reactivation: If the client wishes to reactivate the server after suspension, a fee of $25 will be charged. The reactivation process may take up to 24 hours.
- Grace Period: A grace period of 24 hours will be provided only if the client requests it. After the grace period, if the client fails to pay, the server will be terminated.
- Termination: The company reserves the right to terminate the server within 3 days of the due date if the client fails to pay. The client will not be entitled to any refund if the server is terminated due to non-payment.
- Backup: It is the client's responsibility to take regular backups of their data. The company will not be held responsible for any data loss or corruption.
Service Cancellation Policy:
- Cancellation Request: In order to cancel the Cloud Server & Dedicated Server service, the client must submit a request by opening a ticket from their client area on our website.
- Advance Notice: The client must provide at least 15 days advance notice of the cancellation request before the next billing date. Failure to do so may result in charges for the next billing cycle.
- Non-Refundable: The client will not be entitled to a refund for any unused portion of the Cloud Server & Dedicated Server service.
- Termination: Upon receipt of the cancellation request, the service will be terminated at the end of the current billing period. The client will be responsible for any charges incurred up until the termination date.
- Data Backup: It is the client's responsibility to take a backup of their data before requesting cancellation of the service. We will not be held responsible for any loss of data or any other issues that may arise due to the cancellation.
Software Support Policy:
- Supported Software: We provide software support only for the control panel developed by our company and the Operating System (OS) that we support. We do not provide support for any other third-party software or applications.
- Limitations of Support: Our software support is limited to the installation, configuration, and maintenance of our control panel and the supported OS. We do not provide support for any customization or modifications made by the client.
- Responsibility: The client is solely responsible for the installation, configuration, and maintenance of any third-party software or applications that they choose to install on their Cloud Server & Dedicated Server.
- Acceptable Use Policy: Clients must comply with our Acceptable Use Policy. Any violation of the policy may result in the suspension or termination of the service.
- Liability: We will not be held responsible for any loss or damages incurred as a result of server downtime, data loss, or any other issues arising from the installation, configuration, or maintenance of any third-party software or applications.
Prohibited Uses Policy:
- Lawful Use: Clients must use the service only for lawful purposes and in accordance with these Terms and Conditions. Any use of the service that violates any applicable national or international law or regulation is strictly prohibited.
- Protection of Minors: Clients agree not to use the service for the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content or otherwise.
- Advertising and Promotion: Clients agree not to use the service to transmit, or procure the sending of, any advertising or promotional material, including any “junk mail”, “chain letter,” “spam,” or any other similar solicitation.
- Impersonation: Clients agree not to impersonate or attempt to impersonate our company, a company employee, another user, or any other person or entity.
- Illegal or Harmful Use: Clients agree not to use the service in any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful, or in connection with any unlawful, illegal, fraudulent, or harmful purpose or activity.
- Use Restrictions: Clients agree not to engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the service, or which, as determined by us, may harm or offend our company or users of the service or expose them to liability.
- Discrimination: Clients agree not to promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.
- Pornographic Content: Clients agree not to broadcast or distribute any pornographic content using the service.
- Violation of Prohibited Uses: Any violation of these Prohibited Uses may result in the suspension or termination of the service, without notice or refund, and may also result in legal action if deemed necessary.
Overdue Payment Policy:
- Payment Due Date: Clients must clear their invoices by the due date and maintain an advance payment basis.
- Service Suspension: If the client fails to pay on the due date, we reserve the right to suspend the service, with or without notice.
- Service Reactivation: To reactivate the suspended service, clients must pay a reactivation fee of $25. We provide a grace period of 24 hours only if requested by the client.
- Service Termination: If the client fails to pay within three days of the due date, we reserve the right to terminate the service.
- Payment Gateway: We use 2Checkout and FastSpring as our payment gateway for subscription payments.
- Insufficient Balance: If clients have a subscription payment but do not have sufficient balance at their payment method, 2Checkout and FastSpring will charge the card on file to cover the due amount for the suspended service for the previous due invoices.
- Non-Refundable Payments: Payments collected for the suspended service are not refundable.
- Account Up-to-Date: Clients must keep their accounts up-to-date with current payment information to avoid suspension of service due to overdue payments.
- Service Continuation: If a service is suspended due to overdue payments, but not canceled, the client is responsible for all charges incurred during the suspension period.
No Refund Policy:
- Refund Policy: We do not provide refunds for any of our services purchased from us, including Cloud Server, Dedicated Server, Stream Hosting, Domain Registration, and Software Licenses.
- Trial Period: Instead of a refund, we offer a 30-day trial period for Audio and Video Stream hosting and a 7 to 15-day trial license key for software licenses.
- No Trial Period or Refund: We do not offer any trial period for Cloud Server and Dedicated Server, and no refunds will be provided for these services.
- Agreement to Policy: By purchasing any of our services, you agree to our no refund policy.
- Exemptions: This policy is exempt from any legal obligations that require refunds.

1.1. Credits deposited by a Customer during the Promotion will be awarded with Extra Credits in the amount that equals the Credits deposited
(e.g. by depositing $100 you top up your account with $100 Credits + $25 Free Extra Credits).
1.2. Extra Credits can be used to pay service renewal invoices, and purchase new services and products.
1.3. Credits and Extra Credits are not refundable in any way.
1.4. In case of any chargebacks, Extra Credits will be removed.
1.5. The Extra Credits will be added within 24 hours of depositing Credits.
1.6. If you have already claimed a credit offer, it is not available for you to claim again. Credit offers are typically one-time offers that can only be claimed once. If you have already claimed the offer, you will not be able to claim it again.

The term of this Agreement is set to the Customer's billing term ("Term"). If no Term is set out, the Term shall be one (1) year. Upon expiration of the initial Term, this Agreement shall renew for periods equal to the length of the initial Term, unless one party provides notice of its intent to terminate as set out in this Agreement.
3. Sharing of Your Personal Information:
We will not disclose your personal information outside of Everest Cast. We allow you to choose to share your personal information so that they can contact you about our products, services or offers. Your information will be maintained confidentiality and is prohibited from using it for any other purpose. We may access and/or disclose your personal information if we believe such action is necessary in urgent circumstances to protect the personal safety of users.
